TERMS OF SERVICE

Welcome to thevillagesvillas.com (the “Service”), operated by The Villages Villas (“TVV,” “we,” “us,” or “our”). By using the Service or indicating your acceptance of this Agreement (“Agreement”), you agree to be bound by its terms. If you do not agree, you must not use the Service.

To use the Service, you must be of legal age in your jurisdiction to form binding contracts. Persons under 18 years old are prohibited from using the Service.

1. Disclaimers & No Warranty

The Service, including all information, content, and functionality, is provided “as is” and “as available”. TVV makes no warranties or representations, express or implied, including but not limited to:

  • merchantability or fitness for a particular purpose;
  • non-infringement of third-party rights;
  • accuracy, legality, or availability of property listings;
  • uninterrupted or error-free operation of the Service;
  • performance or behavior of Hosts or Renters.

By using the Service, you acknowledge that all interactions and transactions involve inherent risks, and you assume full responsibility for such risks.

2. Limitation of Liability

To the fullest extent permitted by law, TVV, its affiliates, officers, directors, employees, and agents shall not be liable for:

  • direct, indirect, incidental, punitive, or consequential damages;
  • lost profits, revenue, or opportunity;
  • personal injury, property damage, or emotional distress;
  • disputes between Hosts and Renters;
  • failure to complete transactions or errors in listings.

TVV’s aggregate liability is limited to the greater of:

  1. the total subscription fees paid by you in the twelve (12) months preceding the claim; or
  2. $100.00.

Your sole remedy for dissatisfaction is to discontinue use of the Service.

3. Release of Claims (Host/Renter Disputes)

TVV is not a party to any agreements, bookings, or transactions between Hosts and Renters. All disputes are the exclusive responsibility of the parties involved.

By using the Service, you release TVV and its affiliates from all claims, known or unknown, related to:

  • disputes over bookings, payments, or property conditions;
  • acts or omissions of Hosts or Renters;
  • any other matters arising from Host-Renter interactions.

4. Indemnification

You agree to indemnify, defend, and hold harmless TVV, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses (including attorney fees) arising from:

  • breach of this Agreement;
  • transactions conducted via the Service;
  • violations of intellectual property or other third-party rights;
  • inaccurate, false, or misleading information provided by you.

5. Host & Renter Obligations / User Responsibilities

5.1 Host Responsibilities

Hosts must:

  • accurately describe all properties;
  • honor reservations and fulfill obligations to Renters;
  • comply with all applicable laws (taxes, zoning, licensing, accessibility, discrimination, fair housing).

Failure to comply may result in legal liability or suspension/termination of access.

5.2 Renter Responsibilities

Renters must:

  • provide accurate information when booking or contacting Hosts;
  • conduct due diligence before entering transactions;
  • comply with all applicable laws and rental rules.

6. Platform Role (What TVV Does / Does Not Do)

TVV provides a listing platform only and does not:

  • verify the accuracy, safety, legality, or availability of listings;
  • guarantee completion of any rental transaction;
  • act as an agent for Hosts or Renters;
  • review or screen users.

All transactions occur at the users’ risk.

7. License to Use the Service

TVV grants a limited, revocable, non-exclusive license to use the Service for its intended purposes. You agree not to:

  • access unauthorized accounts;
  • copy, distribute, or create derivative works from TVV Content;
  • interfere with the Service or its users;
  • sell, sublicense, or misuse the Service.

8. Acceptable Use & Content Policies

TVV may remove or refuse content that is:

  • obscene, offensive, illegal, or pornographic;
  • defamatory or infringing third-party rights;
  • including unauthorized contact information or external links;
  • otherwise inconsistent with applicable law or this Agreement.

9. Proprietary Rights (TVV & Host Content)

9.1 TVV Content

The Service, trademarks, logos, and all associated intellectual property (“TVV Content”) are owned exclusively by TVV.

9.2 Host Content

Hosts retain ownership of their submitted content. By posting, Hosts grant TVV and its affiliates a worldwide, royalty-free, non-exclusive license to:

  • use, reproduce, display, distribute, and modify content;
  • create derivative works;
  • sublicense to marketing affiliates.

10. Registration, Accounts & Subscriptions

To register, users provide accurate contact information.

  • Maintain account confidentiality; TVV is not responsible for unauthorized access.
  • Subscription fees are billed annually in advance per listing; unused portions are non-refundable.

11. Copyright / DMCA Policy

TVV prohibits copyright infringement. If you believe your work has been misused, provide a written notice including:

  1. Your contact information;
  2. Description of the copyrighted work;
  3. Location of the infringing material;
  4. Statement of good faith belief;
  5. Declaration under penalty of perjury;
  6. Signature.

12. Termination

TVV may terminate this Agreement, your subscription, or any listing at any time, without notice.
Sections on warranties, liability, indemnification, and license survive termination.

13. Privacy Policy Reference

Your privacy is important. TVV’s Privacy Policy (incorporated herein) describes how we collect, use, and protect your information.

14. Modifications to the Agreement

TVV may update this Agreement at any time. Continued use constitutes acceptance of updated terms. Registered users will receive notice via email for material changes.

15. Governing Law & General Conditions

  • This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles.
  • This Agreement constitutes the entire agreement between you and TVV and supersedes any prior agreements.
  • Failure to enforce any provision does not constitute a waiver.
  • If any provision is invalid or unenforceable, the remainder will remain in full force and effect.
